ARBITRATION NOTICE: THE GENERAL DISNEY PINNACLE BY DAPPER LABS TERMS OF USE SET FORTH HERE (THE “GENERAL TERMS”) CONTAIN AN ARBITRATION PROVISION (SEE SECTION 16 OF THE GENERAL TERMS). PLEASE REVIEW THE ARBITRATION PROVISION CAREFULLY, SINCE IT AFFECTS YOUR RIGHTS. BY USING THE DISNEY PINNACLE BY DAPPER LABS APPLICATION (THE “APP”), OR ANY PART OF IT, INCLUDING YOUR ENTRY AND PARTICIPATION IN THIS Program, YOU UNDERSTAND AND AGREE TO BE BOUND BY THE ARBITRATION PROVISION IN THE GENERAL TERMS.
The Disney Pinnacle by Dapper Labs Genesis Key Program (the “Program”) starts on [June 12th, 2025 at 9 am PDT] and ends when all three (3) Genesis Capsules (“GCs”) have been opened.
ELIGIBILITY: The Program is open to Disney Pinnacle by Dapper Labs users (“Eligible Participants”). Employees, officers, and directors of The Walt Disney Company and its subsidiaries, affiliates, or related entities (collectively, “Disney Entities”), as well as members of their immediate families (spouse, parents, siblings, and children) and persons living in the same household (whether related or not), are not eligible to participate in the Program. Void where prohibited by law. The Program is subject to all applicable United States and Canada federal, provincial, state and local laws.
Rules: Genesis Keys. Each Eligible Participant may claim one (1) Genesis Key (“GK”) every four (4) hours from the Revolving Storefront. GKs are available on a first-come, first-served basis and do not carry over or stack between rotations. They must be claimed during the applicable rotation window or they are forfeited. Genesis Keys exist solely for in-app use during the Program, are not NFTs, and may not be bought, sold, transferred, or traded. The Program allows unlimited claiming of GKs even after 300,000 total have been distributed, and will continue until all three Genesis Capsules (“GCs”) have been successfully unlocked.
Genesis Capsules and Unlock Attempts. Genesis Capsules will be released in three phases, with one GC becoming available after 100,000 GKs in total have been claimed, the second after 200,000 GKs in total have been claimed, and the third after 300,000 GKs in total have been claimed. Each Genesis Capsule contains a single Genesis Edition Digital Pin (“GEDP”). GKs are consumed upon use and may be used to attempt to unlock any of the active Genesis Capsules, regardless of when they were originally claimed. Each Genesis Capsule is guaranteed to unlock within 100,000 total attempts, and only one GEDP will be awarded to one user per Capsule.
Random Draw Mechanics. The mechanism for attempting to open a Genesis Capsule is governed by a random draw from a pre-packed pool of 100,000 simulated Capsules, one of which contains the GEDP. Upon initiating an unlock attempt, a participant’s GK is consumed and one simulated Capsule is randomly selected. If the selected Capsule is empty, the attempt is unsuccessful. If the Capsule contains the GEDP, the participant will receive the GEDP and become the sole owner of the GEDP’s digital token. GEDPs may be sold or traded on the platform, subject to marketplace availability and functionality.
Genesis Key Validity. Genesis Keys are not tied to any specific Genesis Capsule and may be used to attempt to unlock any of the three Genesis Capsules at any time during the Program, provided the Capsule is active. GKs received through milestone bonuses or promotional vouchers may or may not count toward the Capsule unlock thresholds; any such distinctions will be clearly disclosed at the time of distribution.
Program Duration. The Program will conclude once all three Genesis Capsules have been successfully unlocked. Unused GKs will be removed from the app at the end of the Program. GKs have no cash value and no residual utility after the Program ends.
Additional Key Distribution. Genesis Keys may also be distributed through alternate channels including, but not limited to, milestone rewards and limited-use promotional vouchers. These additional GKs will be clearly marked to indicate whether they count toward the Genesis Capsule unlock thresholds. GKs distributed via voucher are subject to a single-use limitation per account.
GENERAL: ENTRANTS ACKNOWLEDGE AND AGREE BY PARTICIPATING IN THE Program THAT THEY MAY BE WAIVING CERTAIN LEGAL RIGHTS THAT THEY MAY OTHERWISE HAVE. By participating in the Program, each entrant agrees: (a) to abide by these Official Rules and decisions of Dapper Labs, Inc., Disney Pinnacle by Dapper Labs Terms of Use, Dapper Service Terms of Use, and the decisions of the Dapper Labs, Inc., which shall be final and binding in all respects relating to this Program; (b) to release, indemnify, discharge and hold harmless Dapper Labs, Inc., Disney, and its and their respective parents, affiliates, subsidiaries, and advertising and Program agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the foregoing (collectively, “Released Parties”) from and against any and all costs, claims, damages, (including, without limitation, any special, incidental, or consequential damages), or any other injury, whether due to negligence or otherwise, to person(s) or property (including, without limitation, death or violation of any personal rights, such as violation of right of publicity/privacy, libel, or slander), due in whole or in part, directly or indirectly, to participation in the Program, or arising out of participation in any Program related related Activity, or the receipt, enjoyment, participation in, use or misuse, of any Program related activity, whether hosted by Dapper Labs, Inc. or a Third Party; and (c) to the use of his/her name, voice, performance, photograph/video, image and likeness for programming, advertising, publicity and Program purposes in any and all media (including digital media), now or hereafter known, worldwide and in perpetuity by Dapper Labs, Inc., Disney, and its and their designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, Eligible Participants also agree not to release any publicity or other materials on their own or through someone else regarding their participation in the Program without the prior consent of the Dapper Labs, Inc., which it may withhold in its sole discretion. The Released Parties are not responsible for any delay or failure to receive notification from Dapper Labs, Inc., or for Dapper Labs, Inc. to fail to receive a potential winner’s response, for any reason, including inactive account(s), technical difficulties associated therewith, or a potential Eligible Participant’s failure to adequately monitor any account. The Released Parties are not responsible for communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in an entrant’s email account to receive email messages. The Released Parties are not responsible for false, incorrect, changed, incomplete or illegible contact information
GKs, GCs, and GEDPs are awarded “as is” with no warranty or guarantee, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdiction may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so some of the limitations or exclusions contained herein may not apply to you. Check your local laws for any restrictions or limitations regarding these limitations or exclusions. GEDP winners may not substitute, assign or transfer their GEDP, but we reserve the right, at Dapper Labs, Inc.’s sole discretion, to substitute the GEDP with another GEDP of comparable or greater value. The GEDP recipients are responsible for all applicable federal, provincial, state and local taxes, if any, as well as any other costs and expenses otherwise associated with accepting any GEDP. All GEDP details are provided at Dapper Labs, Inc.’s sole discretion. Dapper Labs, Inc. will not be required to award more GEDPs than the number of available GEDPs set forth in these Official Rules. All GEDP winners are subject to identity verification and verification of eligibility and compliance with these Official Rules.
In no event will the Released Parties be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of your access to and participating in the Program and/or downloading from and/or print material downloaded from any website associated with the Program. Released Parties are not responsible for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Program, including, without limitation, errors or difficulties which may occur in connection with the administration of the Program, the processing or judging of the Program, the selection of potential GEDP winners, or the announcement of any GEDP. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by other entrants or site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Program or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Program or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Dapper Labs, Inc., will be disqualified. Should any portion, or the entirety of the Program be deemed illegal in any jurisdiction in the United States, Dapper Labs, Inc. reserves the right at its sole discretion to suspend, modify or terminate the Program. Should any portion of the Program be, in Dapper Labs, Inc.’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Dapper Labs, Inc., corrupt or impair the administration, security, fairness or proper play, or submission of entries, Dapper Labs, Inc. reserves the right at its sole discretion to suspend, modify or terminate the Program and, if terminated, at its discretion, select the potential winner(s) from all eligible participants using the procedures outlined above. CAUTION: ANY ATTEMPT TO DAMAGE THE DISNEY PINNACLE BY DAPPER LABS SITE OR APP OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE Program MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, DAPPER LABS, INC.. RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
GOVERNING LAW: The Program shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein without giving effect to any choice or conflict of law provision or rule (whether of the Province of British Columbia or any other jurisdiction).
DISNEY AND ITS RESPECTIVE SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, OFFICERS, DIRECTORS, AGENTS, MEMBERS, REPRESENTATIVES, AND EMPLOYEES ARE NOT SPONSORS OF THIS Program AND WILL HAVE NO LIABILITY OR RESPONSIBILITY FOR ANY CLAIM ARISING IN CONNECTION WITH PARTICIPATION IN THIS PROGRAM OR ANY GEDP AWARDED. DISNEY HAS NOT OFFERED OR SPONSORED THIS PROGRAM IN ANY WAY.
